Website Design & Development Agreement
Client Contract – Oz Signs & Prints
This Agreement (“Agreement”) is made between Oz Signs & Prints (“Service Provider”) and the client (“Client”) for the design, development, and delivery of a website.
1. Scope of Work
The Service Provider will deliver website design and development services in accordance with the selected package. This includes layout, mobile responsiveness, SEO capable setup, and integration of supplied content.
2. Client Content and Responsibility
The Client must provide all required content, including text, images, logos, and legal disclaimers. If the Client fails to provide such content within the requested timeframe, the Service Provider may use temporary or publicly available material to complete the project. The Client assumes full legal responsibility for all content used on the site, including liability for any intellectual property, copyright, or licensing infringements.
3. Revisions
The Service Provider allows for two (2) rounds of design revisions. Additional revisions will be billed separately.
4. Payments
A deposit is required before work commences. The final balance is due prior to website launch and before administrative access is provided. All payments are non-refundable.
5. Transfer of Ownership and Liability
Once final payment is made, administrative access can be granted upon request to the Client, Oz Signs & Prints is released from all liability relating to the website. This includes, but is not limited to:
Website performance, uptime, or downtime
Security breaches, malware, or hacking
Loss or corruption of data
Content management and updates
Technical or plugin conflicts
Hosting or email performance
Any future assistance will be subject to a new service agreement.
6. Disclaimer of Warranty
The website is delivered “as is” upon handover. The Service Provider disclaims all warranties, whether express or implied, including but not limited to fitness for purpose, non-infringement, and performance guarantees.
7. Hosting and Server Access
If the website is hosted by Oz Signs & Prints or its partners, it will be hosted on a shared server. cPanel or server-level access will not be granted. Dedicated hosting must be specifically requested and will incur additional costs, payable by the Client.
8. Software and Plugin Licensing
Some components used in the website build may rely on paid third-party plugins, software, or licenses. These may be active during development. Upon handover, such licensed tools will either be removed or restricted unless the Client purchases their own license. The Service Provider will not be responsible for plugin renewal, licensing issues, or future compatibility unless engaged under a maintenance agreement.
9. Termination
Either party may terminate the project in writing. All payments made are non-refundable. Any work completed up to the termination point will be delivered in its current form. Any outstanding balance remains payable.
10. Acknowledgement
By confirming the order, approving the project, or making any payment, the Client agrees to be bound by the terms of this Agreement.
